Master Services Agreement & Terms

Terms of Service

Clear, transparent, and enterprise-grade contractual frameworks governing cloud architecture, zero-downtime migration, DevOps pipelines, and FinOps optimization engagements.

Effective Date: September 2026 · Data Code Tech San Francisco, CA

1. Scope of Cloud Engineering Services

These Terms of Service (“Agreement”) govern all consulting, architecture, implementation, and SRE management services provided by Data Code Tech (“Data Code Tech”) to enterprise clients (“Client”).

Our services encompass multi-cloud architecture across Amazon Web Services (AWS), Microsoft Azure, and Google Cloud Platform (GCP); zero-downtime database and workload migrations; Kubernetes (EKS/AKS/GKE) deployments; Terraform and Pulumi Infrastructure as Code (IaC); Zero-Trust security perimeters; and FinOps cost governance.

2. Statements of Work (SOW) & Milestones

Individual cloud engineering initiatives shall be documented via formal Statements of Work (SOW). Each SOW specifies technical architecture deliverables, milestone deadlines, acceptance criteria, and project billing terms.

Any modifications to the technical scope shall be executed via written mutual change orders signed by authorized representatives of both parties.

3. Service Level Agreement (SLA) Commitments

For managed SRE and enterprise cloud operations engagements, Data Code Tech commits to rigorous industry-leading SLAs:

99.999%

Target Uptime Architecture

< 2 Hours

Priority Incident Response

4. Intellectual Property & IaC Code Ownership

Client Ownership: Upon receipt of full payment, all custom Infrastructure as Code (IaC) modules, Terraform scripts, Kubernetes manifests, CI/CD pipelines, and application code authored specifically for the Client shall be the exclusive property of the Client.

Pre-Existing Tools: Data Code Tech retains ownership of its proprietary pre-existing templates, utility libraries, and generalized benchmarking algorithms, granting the Client a perpetual, royalty-free license to use them within their deployed infrastructure.

5. Mutual Confidentiality & NDA Standards

Both parties agree that all confidential information, infrastructure topologies, credentials, commercial terms, and proprietary source code exchanged during the engagement shall remain strictly confidential.

Confidentiality obligations shall survive termination of this Agreement for a period of five (5) years, with trade secrets protected indefinitely.

6. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, special, or punitive damages arising from cloud outages caused by third-party hyperscaler provider infrastructure (AWS, Azure, GCP global outages).

The total aggregate liability of Data Code Tech under any Statement of Work shall not exceed the total fees paid by the Client to Data Code Tech under that specific SOW in the twelve (12) months preceding the claim.

7. Termination & Orderly Cloud Handover

Either party may terminate an SOW upon thirty (30) days written notice.

Upon termination, Data Code Tech provides a structured 30-day technical offboarding transition, delivering complete access keys, Git repositories, architectural diagrams, and runbooks to the Client's internal engineering team.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
